These Terms of Service (“Terms”) govern your access to and use of XYNNE. By using XYNNE, you agree to these Terms.

1) Overview

XYNNE is an AI-assisted film producer companion operated by Superjaai. It provides insights via chat, optionally analyzing files (Pro), and referencing our knowledge base and curated web sources.

2) Accounts & eligibility

You must be 16+ (or the age of majority in your jurisdiction) to use XYNNE. You are responsible for your account credentials and for any activity under your account.

3) Subscriptions, trials, and billing

• Plans: Free (with rate limits) and Pro (monthly/yearly) billed via Stripe.
• Auto-renewal: Paid plans auto-renew until you cancel.
• Trials: If offered, trials convert to paid unless cancelled before the end of the trial.
• Fees & taxes: Prices exclude applicable taxes unless stated.
• Refunds: Fees are non-refundable except where required by law. Upon cancellation, you retain access through the end of your current billing period.
• Changes: We may change plan features or pricing; where material, we’ll notify you in advance.

4) Acceptable use

You agree not to:

• use XYNNE in violation of law or rights of others;
• upload or generate content that is illegal, harmful, defamatory, infringing, or invasive of privacy;
• attempt to bypass rate limits, security, or technical restrictions;
• reverse engineer, resell, or use XYNNE to build a competing service;
• use outputs to create or spread misinformation, or to violate third-party policies (including film festival/market rules);
• upload malicious code or exploit vulnerabilities.

We may monitor for abuse and suspend or terminate accounts that violate these Terms.

5) Your content

• You retain ownership of content you upload or input into XYNNE (“User Content”).
• You grant Superjaai a non-exclusive, worldwide, royalty-free license to host, process, and display your User Content solely to operate and improve the Service.
• You represent that you have all necessary rights to your User Content and that it does not infringe third-party rights.

6) AI outputs & disclaimers

• AI-generated responses may be inaccurate or incomplete and are provided “as is.”
• You are responsible for evaluating outputs before relying on them. XYNNE is not a substitute for professional advice (legal, financial, medical, etc.).
• Where outputs include current facts (e.g., festival deadlines/fees), we aim to cite sources; you should verify official requirements before submitting to third parties.

7) Intellectual property

• XYNNE, including all software, models, knowledge base content authored by Superjaai, and visual design, are owned by Superjaai and its licensors.
• Except for rights expressly granted to you to use the Service, we reserve all rights.

8) Third-party services

XYNNE integrates with services such as OpenAI, Tavily, Supabase, Stripe, Cloudflare Turnstile, and Upstash. Your use of those services is subject to their terms. We are not responsible for third-party services.

9) Service changes and availability

We may modify, suspend, or discontinue the Service or features at any time, with or without notice. We strive for uptime but provide no SLA unless expressly agreed in writing.

10) Termination

You may stop using XYNNE at any time. We may suspend or terminate your access if you violate these Terms, create risk or possible legal exposure for us, or stop using the Service for an extended period. Upon termination, your right to use the Service ends; certain sections survive (e.g., IP, disclaimers, limitations, indemnity).

11) Privacy

Our Privacy Policy describes how we handle your data. By using XYNNE, you consent to the collection and use of information as described there.

12) Copyright complaints

If you believe that content on XYNNE infringes your copyright, please send us a written notice with:

• Your contact details,
• A description of the copyrighted work,
• A link or description of where the infringing content appears, and
• A statement that you believe in good faith that the use is unauthorized.

We may remove the reported content and may terminate repeat infringers.

13) Warranties & disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14) Limitation of liability

To the maximum extent permitted by law, Superjaai and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or use. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the 12 months preceding the event giving rise to the claim or (b) USD $100.

15) Indemnification

You will defend, indemnify, and hold harmless Superjaai from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of XYNNE, your User Content, or your violation of these Terms.

16) Governing law

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Malaysia for the resolution of any disputes arising out of or relating to these Terms or the use of the Service.

17) Changes to Terms

We may update these Terms from time to time. If changes are material, we will notify you (e.g., via email or in-app). The updated Terms are effective when posted. Your continued use constitutes acceptance.
